Mutual confidentiality agreement

This agreement is made on 12 October 2026 between Imaginists Limited (company number 14769667, registered office Second Floor Kennel Club House, Gatehouse Way, Aylesbury, Buckinghamshire, HP19 8DB) ("Imaginists") and ________ of ________ ("you"). Each of us is a "party", and each may be a "discloser" or a "recipient".

1. Purpose. We are considering working together, and to decide whether and how to do so each of us may share information with the other (the "purpose").

2. Confidential information. Confidential information is any information one party shares with the other in connection with the purpose, in any form, that is marked confidential or that a reasonable person would treat as confidential, including information about products, formulations, suppliers, customers, channels, finances, deals, plans and people. It does not include information that is or becomes public other than through the recipient's breach, that the recipient already held without a duty of confidence, that the recipient receives from a third party free to share it, or that the recipient develops independently.

3. What each of us promises. Each recipient will use the discloser's confidential information only for the purpose; will keep it confidential, taking at least the care it takes with its own; will share it only with its own directors, employees and professional advisers who need it for the purpose and are bound by duties of confidence at least as strict as these; and will not share it with anyone else without the discloser's written permission.

4. When disclosure is required. A recipient may disclose confidential information where the law, a court or a regulator requires it, after giving the discloser as much notice as the law allows and disclosing only what is required.

5. Return. On the discloser's written request, the recipient will return or destroy the discloser's confidential information and any copies, except for copies it must keep by law or that sit in routine back-ups, which remain subject to this agreement.

6. No licence, no obligation. Nothing in this agreement gives either party any rights in the other's confidential information or intellectual property, and nothing obliges either party to share information or to enter into any further agreement.

7. How long. This agreement starts on the date above and the obligations last for three years from that date, or for as long as the information remains a trade secret, whichever is longer.

8. General. This agreement is the whole agreement between us about its subject. It may be changed only in writing signed by both parties. It is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. It may be signed electronically and in counterparts.
